Acceptance of Terms

By using Marketplace (the "Marketplace"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to the Terms, you may not use the Marketplace.

Changes to the Terms

We reserve the right to change the Terms at any time. Where changes are material, we will provide reasonable advance notice. Your continued use of the Marketplace following any such changes will be considered acceptance of those changes.

Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized access or suspected security incident.

API Providers

The Marketplace provides access to APIs published by third parties ("API Providers"), which may include other teams within your organization or external organizations. API Providers are solely responsible for the content, functionality, security, and support of their own APIs. We do not warrant the availability, accuracy, or performance of any API listed on the Marketplace.

Use of APIs

Your use of an API is subject to the applicable API Provider's own terms and conditions, in addition to these Terms. By requesting access to or using an API, you agree to be bound by that API Provider's terms.

Fees

API Providers may charge fees for the use of their APIs. You are solely responsible for paying any fees associated with your use of an API, directly to the relevant API Provider.

User Data

You are solely responsible for any data you provide to API Providers through the APIs. We are not responsible for any loss or damage to such data.

Where data you submit through the Marketplace includes personal data subject to the General Data Protection Regulation (GDPR), or data subject to HIPAA, you are responsible for ensuring you have the appropriate legal basis to submit that data, and for executing any additional data protection addendum or Business Associate Agreement we may require before such data is processed.

Restrictions

You may not use the Marketplace or the APIs for any illegal or unauthorized purpose. You may not interfere with the operation of the Marketplace or the APIs, attempt to breach security controls, or conduct unauthorized penetration testing without our prior written consent.

Intellectual Property

The Marketplace and the APIs are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Marketplace or the APIs, except as expressly permitted.

Limitation of Liability

We will not be liable for any damages arising from your use of the Marketplace or the APIs, including, without limitation, direct, indirect, incidental, punitive, and consequential damages.

Indemnification

You agree to indemnify and hold us and our affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Marketplace or the APIs.

Suspension and Termination

We may suspend or terminate your access to the Marketplace for breach of these Terms, non-payment, or activity that poses a security risk. Where practicable, we will provide notice before doing so.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which we are located, without giving effect to any choice or conflict of law provision or rule.

Dispute Resolution

Any dispute arising out of or related to these Terms will be resolved through binding arbitration in accordance with the rules of the jurisdiction in which we are located, except where either party seeks injunctive relief to protect its intellectual property or confidential information.
